The Parties to the Nauru Agreement Office (PNAO) is seeking the services of a commercial lawyer based in the Republic of the Marshall Islands to undertake an independent legal review of governance and corporate matters relating to commercial activities of the PNAO.

Terms of Reference:
Objective:
The primary objective of this engagement is to ensure that governance structures adequately recognize and protect the control and role of the Parties in a corporate entity and to recommend any appropriate amendments to governing bylaws.
Scope of Work:
- Review the current governance framework and legal structure of the entity with reference to RMI corporate law.
- Assess the legal recognition of shareholder rights, Party oversight, and control mechanisms.
- Identify risks, ambiguities or gaps in existing governance provisions.
- Provide independent legal advice on strengthening Parties’ role and control.
- Draft recommended amendments to bylaws, where appropriate.
Deliverables:
- Written independent legal review report, including findings and analysis.
- Recommendations for governance improvements.
- Draft proposed bylaw amendments in line with recommendations.
Duration and Timeline:
The legal advisor is expected to complete this work within 2 months from signing the contract.
Reporting:
The legal advisor will report directly to the Chief Executive Officer of the PNAO and will work independently with periodic consultations as required.
